1. Agreement to Terms
These Terms of Service ("Terms") are an agreement between you and Linkly AI LLC, a limited liability company registered in the State of Delaware, United States ("Linkly AI", "we", "our", or "us").
By downloading, accessing, or using Linkly AI (the "Service"), you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2. Description of Service
Linkly AI is a desktop application that indexes documents already stored on your own computer and makes them searchable — by you, and by the AI tools you choose to connect.
The Service includes:
- Desktop application for macOS, Windows, and Linux. Once you select folders to index, it runs in the background and keeps its index up to date. It appears in your menu bar or system tray.
- Local indexing and search. Parsing, indexing, and search run on your device. Depending on the file, this may include text extraction, OCR, and speech-to-text.
- A local MCP server and CLI. The application runs a server on your machine so AI agents and other tools can search and read your indexed files. You can also allow access from other devices on your local network.
- Optional cloud features, available with a paid subscription: a remote MCP tunnel, cloud libraries, and cloud-assisted models.
You do not need an account to install the application or to use its local features. An account is required only for cloud features.
We may change, add, or remove features over time.
3. Your Account
3.1 Registration
To use cloud features you must create an account. You may sign in with Google, GitHub, Notion, Apple, or an email verification code. You agree to:
- Provide accurate and complete information
- Keep your account credentials secure
- Keep your information up to date
- Accept responsibility for activity under your account
3.2 Account Security
You are responsible for safeguarding your account. Notify us at support@linkly.ai if you suspect unauthorized access.
4. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose
- Index, publish, or distribute content you do not have the right to use
- Upload or distribute malware
- Attempt to gain unauthorized access to our systems, or to another user's account or libraries
- Interfere with or disrupt the Service, including by placing unreasonable load on our cloud infrastructure
- Reverse engineer or decompile the application, except where that restriction is prohibited by law
- Resell, sublicense, or provide the Service to third parties as a hosted offering without our written permission
- Use automated systems to access our cloud services in a way that circumvents rate limits or quotas
You are responsible for securing the local MCP server the application runs on your machine, including any access you enable from your local network or through the remote tunnel.
5. Your Content
5.1 Files on your own device
Files that Linkly AI indexes locally stay on your device. We do not receive them, and we cannot access them. This includes the index the application builds from them.
5.2 Content you send to our cloud services
Some features require you to send content to us. This happens only when you choose it — for example, when you publish or push documents to a cloud library, or when you use a cloud-assisted model.
You retain ownership of that content. You grant us a worldwide, non-exclusive, royalty-free licence to store, process, transmit, and display it solely to operate the Service for you, and — for libraries you make public — to display it to others as described below. This licence ends when you delete the content or your account.
5.3 Public libraries
A cloud library can be private or public. Public means exactly that: anyone on the internet can view its contents, and the content may be indexed by search engines and read by AI agents. Making a library public is your decision and you can change it.
We may feature public libraries in our discovery pages or other promotional material. If you would rather we did not feature yours, email support@linkly.ai and we will remove it from those placements.
5.4 Responsibility
You are solely responsible for content you index and for content you send to us. You represent that you have the rights necessary to do so. We may remove content that violates these Terms or applicable law.
6. Intellectual Property
6.1 Our Rights
Linkly AI, including its design, features, and code, is owned by Linkly AI LLC and protected by intellectual property laws. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable licence to install and use the application. You may not copy, modify, or distribute any part of the Service except as permitted by these Terms or by law.
6.2 Feedback
Any feedback or suggestions you provide may be used by us without obligation to you.
7. Third-Party Services and AI Tools
The Service is designed to connect to third-party AI tools and agents that you choose. When you connect one, that tool receives whatever you allow it to search and read, and its own terms and privacy policy govern what it then does with that content. We are not responsible for third-party services.
Our cloud features are built on third-party infrastructure. See our Privacy Policy for the list of providers.
8. Subscriptions, Billing, and Refunds
8.1 Free and Paid Plans
Linkly AI's local features are free and do not require an account. Paid subscriptions add cloud features. Current prices, plan limits, and included features are shown on our pricing page and may change; changes do not affect the term you have already paid for.
8.2 Billing
Payments are processed by Stripe. Subscriptions renew automatically at the end of each term unless you cancel before the renewal date. You can cancel at any time; cancellation takes effect at the end of the current term.
Promotional pricing applies only for as long as the promotion is offered and may not apply on renewal. Where that is the case, we will say so at the time of purchase.
8.3 Refunds
We offer a full refund within 7 days of your first payment, no questions asked. Email support@linkly.ai and we will process it.
Outside that window, refunds are at our discretion. Nothing in this section limits any refund rights you have under the law that applies to you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- The Service will be uninterrupted or error-free
- The Service will meet your specific requirements
- Indexing, search, OCR, transcription, or AI-generated results will be complete or accurate
Linkly AI is a tool for finding and reading your own files. It is not a backup service. Keep your own backups.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Loss of data or content
- Loss of profits or revenue
- Business interruption
- Any other intangible losses
Our total liability shall not exceed the greater of the amount you paid us in the 12 months preceding the claim, or fifty US dollars (US$50).
Some jurisdictions do not allow certain limitations of liability. Where that is the case, the limitations above apply only to the extent permitted.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
12. Termination
12.1 By You
You may stop using the Service at any time. Uninstalling the application removes it and the index it built from your device.
We do not currently offer self-service account deletion. To delete your account and everything associated with it, email support@linkly.ai. We will delete it manually and confirm when it is done.
12.2 By Us
We may suspend or terminate your account if you violate these Terms. Except where a violation is severe or unlawful, we will give you notice and an opportunity to resolve it first.
12.3 Effect of Termination
When your account is deleted, your cloud data — including cloud libraries and their contents — is deleted immediately and cannot be recovered. Files on your own device are unaffected.
13. Changes to Terms
We may modify these Terms. We will notify you of material changes by email or through the Service and update the date at the top of this page. Continued use after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. This does not deprive you of the protection of mandatory consumer-protection law in your country of residence.
15. Dispute Resolution
Any dispute arising from these Terms or the Service shall be resolved through:
- Good faith negotiation — please email support@linkly.ai first; most things are settled this way
- Mediation
- Binding arbitration, if negotiation and mediation fail
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not constitute a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
